So if Germany conquers London, the Londond IC becomes a minor… and it can NEVER be upgraded? Why?

Only the UK can make it a Major again.
It is for game balance. In the 1st Edition Germany could have done and any power could build a Major on a territory worth 3IPCs. We all found this rule too much and Larry amended it.

you’re of course correct - I was only pointing out that A) Germany cannot upgrade and B) UK gets stung this way, but yes, thank you for correcting overall cost of UK reupping the factory.

Because: 
“Industrial Complexes:
Major industrial complexes can only be built on originally controlled territories (this includes upgrading minor ones). Likewise they may not be upgraded when captured. Major industrial complexes are reduced to minor when captured. The original owner of the territory may upgrade it if the territory is recaptured.”

but can you build a minor ic in a territory with a value of 1?

No. it must be 2, major 3 or more and only in originally occupied areas.
